Terms of Service

1. Introduction

Welcome to BeeZee ("we," "our," or "us"). By accessing or using the BeeZee mobile application and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

BeeZee is a platform that enables professional service providers ("Professionals" or "Users") to share client referrals within their professional networks ("Hives") and manage related commission payments.

2. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and BeeZee.

We reserve the right to modify these Terms at any time. Your continued use of the Service following any changes indicates your acceptance of the new Terms.

3. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use the Service. By using the Service, you represent and warrant that:

  • You are at least 18 years of age

  • You are a professional service provider in good standing

  • You have the legal right to provide the services you offer

  • You hold all necessary licenses, permits, and insurance required for your profession

  • You are not prohibited from using the Service under applicable law

4. User Accounts

4.1 Account Creation: To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

4.3 Account Verification: We may require you to provide additional information or documentation to verify your identity, professional credentials, or compliance with these Terms.

4.4 Account Suspension: We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms or for any other reason we deem appropriate.

5. The Service

5.1 Referral Platform: BeeZee provides a platform for Professionals to share client referrals ("Buzzes") with other trusted Professionals in their Hives. The Service facilitates communication and commission tracking but does not guarantee any particular outcome.

5.2 Independent Contractors: All Professionals using the Service are independent contractors. BeeZee does not employ Professionals and is not responsible for the quality, timing, legality, or any other aspect of services provided by Professionals to clients.

5.3 No Guarantee: BeeZee does not guarantee that you will receive referrals, complete transactions, or earn any specific amount of income through the Service.

5.4 Service Modifications: We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without liability to you.

6. Hives and Referrals

6.1 Building Your Hive: You may invite other Professionals to join your Hive. You are responsible for vetting and selecting the Professionals you invite. BeeZee is not responsible for the conduct, qualifications, or performance of Professionals in your Hive.

6.2 Sharing Referrals: When sharing a referral, you represent and warrant that you have the client's consent to share their information and that all information provided is accurate and complete.

6.3 Accepting Referrals: By accepting a referral, you agree to contact the client promptly and professionally. You are solely responsible for all interactions with the client and for the quality of work performed.

6.4 Referral Ownership: The Professional who shares a referral retains no ownership rights to the client relationship. The receiving Professional is free to establish an ongoing relationship with the client.

7. Fees and Commissions

7.1 Category Fees: Each professional category within the Service has an associated commission fee, which is displayed before you accept a referral in that category. By accepting a referral, you agree to pay the applicable commission upon successful completion of the work.

7.2 Commission Structure: The commission is typically split between the Hive (80%) and BeeZee (20%). The exact split is disclosed before you accept any referral.

7.3 Self-Reporting: You are responsible for reporting completed work and paying commissions through the Service. Commissions are due only for completed work that results in payment from the client.

7.4 Maximum Fee Cap: Each category has a maximum commission cap, which will be clearly disclosed. You will never pay more than the maximum cap regardless of the job value.

7.5 Payment Processing: All payments are processed through our third-party payment processor. You agree to comply with the payment processor's terms and conditions.

7.6 No Refunds: Commission fees are non-refundable except as required by law or at our sole discretion.

8. User Conduct

You agree not to:

  • Violate any applicable laws or regulations

  • Infringe upon the rights of others

  • Submit false, misleading, or inaccurate information

  • Engage in fraudulent activities or misrepresent completed work

  • Circumvent the commission payment system

  • Use the Service to spam, harass, or abuse other users or clients

  • Attempt to gain unauthorized access to the Service or other users' accounts

  • Interfere with the proper functioning of the Service

  • Use automated systems or software to extract data from the Service

  • Remove, obscure, or alter any legal notices or branding

9. Privacy and Data Protection

9.1 Privacy Policy: Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.

9.2 Client Data: You are responsible for obtaining all necessary consents and permissions before sharing client information through the Service. You must comply with all applicable data protection laws, including GDPR, CCPA, and other privacy regulations.

9.3 Data Security: While we implement reasonable security measures, you acknowledge that no system is completely secure. You use the Service at your own risk.

10. Intellectual Property

10.1 BeeZee Property: The Service, including all content, features, functionality, software, logos, trademarks, and service marks, is owned by BeeZee and is protected by copyright, trademark, and other intellectual property laws.

10.2 Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose in accordance with these Terms.

10.3 User Content: You retain ownership of any content you submit through the Service. By submitting content, you grant BeeZee a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content in connection with operating the Service.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

BEEZEE DOES NOT WARRANT THAT:

  • The Service will be uninterrupted, secure, or error-free

  • The results obtained from using the Service will be accurate or reliable

  • The quality of any products, services, information, or other material obtained through the Service will meet your expectations

  • Any errors in the Service will be corrected

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEEZEE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service

  • Any unauthorized access to or use of our servers and/or any personal information stored therein

  • Any interruption or cessation of transmission to or from the Service

  • Any bugs, viruses, or other harmful code transmitted through the Service

  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service

  • The conduct or content of any third party on the Service

IN NO EVENT SHALL BEEZEE'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF YOUR CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless BeeZee, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; (d) your provision of services to clients; or (e) any content you submit through the Service.

14. Dispute Resolution

14.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.2 Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.

14.3 Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and BeeZee individually. To the full extent permitted by law, no arbitration or proceeding shall be joined with any other, and there is no right or authority for any dispute to be arbitrated on a class-action basis.

15. Termination

15.1 By You: You may terminate your account at any time by contacting us. Upon termination, you remain liable for all outstanding commission fees and other obligations incurred prior to termination.

15.2 By BeeZee: We may suspend or terminate your access to the Service at any time, with or without cause or notice, effective immediately. Upon termination, your right to use the Service will immediately cease.

15.3 Effect of Termination: Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. General Provisions

16.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and BeeZee regarding the Service.

16.2 Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

16.3 Waiver: No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

16.4 Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms at any time without notice.

16.5 Force Majeure: BeeZee shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control.

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE SERVICE.
